Shareholders' Meeting

Shareholders' Meetings shall be either ordinary or extraordinary and can be convened by Board of Directors at the Company's registered offices, or elsewhere in Italy.

Shareholder’s Meetings can be convened by publishing a notice on the Company’s website as well as according to the procedure and within the terms provided by law.

Shareholder’s Meetings appoints the Board of Directors, the Board of Statutory Auditors and the Independent Auditors.

Shareholders' Meetings shall be chaired by the Chairman of the Board of Directors. If neither the Chairman nor any Deputy Chairman of the Board of Directors are present, the shareholders present shall elect a Chairman.

The legitimate attendance of Shareholders' Meetings and the exercise of voting rights is regulated by law.

The person with voting rights in the Shareholders’ Meetings may be represented by a proxy, who shall be appointed by an instrument of proxy prepared in the form specified by law. The proxy form may be notified to the Company by the electronic means indicated by the Board of Directors on the notice convening the Shareholders’ Meeting.

In view of the orderly and effective conduct of Shareholders' Meetings and the related debate, the Company has not considered it necessary to adopt a set of rules governing the procedure of such meetings; the powers of the chairman to moderate such meetings have therefore proven sufficient for their intended purpose.

The Chairman of the Shareholders' Meeting, also with the assistance of persons specially appointed for this purpose, shall confirm that the proxies are in order as well as the entitlements to attend the meeting, shall resolve any disputes, and direct and moderate the debate, possibly establishing how long each speaker may have the floor, and establish the order and methods of voting.
